These Terms of Service ("Terms") are a binding legal agreement between you and Delta Directory ("we", "us", "our", the "Service"). By accessing or using the Service in any way — including browsing, creating an account, posting content, or purchasing a paid feature — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility & accounts
- You must be at least 13 years old (and at least the age of majority in your jurisdiction to enter contracts or make purchases).
- You are responsible for all activity that occurs under your account and for keeping your credentials secure. Notify us immediately of any unauthorized use.
- You agree to provide accurate information and to keep it current.
2. User content & license
You retain ownership of content you submit (listings, posts, reviews, photos, messages, and other materials, collectively "User Content"). By submitting User Content you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting), publish, publicly display, and distribute that content in connection with operating, promoting, and improving the Service. This license continues for content others have shared or archived even after you delete your account, to the extent necessary for backups, legal compliance, and the legitimate interests of other users.
You represent and warrant that you own or have all necessary rights to the User Content you submit and that it does not violate any law or third-party right.
3. Prohibited conduct
You agree not to, and not to permit others to:
- Post content that is unlawful, defamatory, fraudulent, deceptive, harassing, threatening, hateful, obscene, or that infringes any intellectual-property, privacy, or publicity right;
- Impersonate any person or entity or misrepresent your affiliation;
- Post spam, scams, pyramid schemes, malware, or unsolicited advertising;
- Scrape, crawl, harvest, or use automated means to access the Service except for compliant search-engine indexing;
- Interfere with, overburden, or attempt to gain unauthorized access to the Service, its servers, or accounts;
- Use the Service to violate any applicable law or regulation.
We may, but are not obligated to, monitor, moderate, remove, or disable any content or account at our sole discretion, with or without notice.
4. Listings, transactions & user interactions
The Service is a venue that lets community members and businesses publish information and connect. We are not a party to, and are not responsible for, any transaction, agreement, communication, meeting, or dispute between users (including between buyers and sellers, employers and applicants, service providers and customers, or attendees of events). We do not verify, endorse, or guarantee any listing, business, user, product, service, price, review, or piece of content. You interact with other users and rely on any content at your own risk. You assume all risk associated with in-person meetings and transactions. We strongly recommend exercising caution, meeting in public places, and independently verifying information.
5. Paid features & "Boosts"
We offer optional paid placements, featured listings, advertisements, and promotional "Boosts." Fees are disclosed before purchase, billed in advance, and — except where non-waivable law requires otherwise — non-refundable. Purchasing a Boost or placement does not guarantee any specific result, traffic, ranking, or outcome. We may modify, reject, reschedule, or remove any paid placement that violates these Terms or that we deem inappropriate, and will refund only the unused, pre-paid portion in that case. Availability of a given placement slot is first-come, first-served and may be limited.
6. Intellectual property
The Service, including its design, software, text, graphics, and trademarks (excluding User Content), is owned by us or our licensors and protected by law. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Service.
7. Third-party links & services
The Service may contain links to or integrations with third-party websites, content, maps, payment processors, and services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms.
8. Copyright / DMCA
We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice to our contact address including: identification of the work, the infringing material and its location, your contact information, a statement of good-faith belief, a statement under penalty of perjury that the information is accurate and you are authorized to act, and your signature. We will respond to valid notices and may remove infringing content and terminate repeat infringers.
9. Disclaimer of warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE OR RELIABLE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DELTA DIRECTORY, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY USER CONTENT, OR ANY INTERACTION WITH ANOTHER USER, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless Delta Directory and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or any law; or (d) your violation of any third-party right.
12. Dispute resolution; arbitration & class-action waiver
Please read this section carefully — it affects your legal rights. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration rather than in court, except that either party may bring claims in small-claims court or seek injunctive relief for intellectual-property misuse. You and we waive any right to a jury trial and to participate in a class, collective, or representative action. Arbitration will be conducted on an individual basis. If this waiver is found unenforceable, the remainder of this section still applies.
13. Governing law
These Terms are governed by the laws of the State in which the Service operator is based, without regard to conflict-of-laws rules. Subject to the arbitration section, you consent to the exclusive jurisdiction of the state and federal courts located there.
14. Termination
We may suspend or terminate your access at any time, with or without cause or notice. Upon termination, the licenses you granted and the disclaimer, limitation-of-liability, indemnification, and dispute-resolution sections survive.
15. Changes to these Terms
We may modify these Terms at any time by posting the revised version with a new "Last updated" date. Your continued use after changes take effect constitutes acceptance. If a change is material, we will make reasonable efforts to notify you.
16. Severability & entire agreement
If any provision is held unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede prior agreements.
